PLEASE READ THESE TERMS CAREFULLY BEFORE USING NEULINC SERVICES. BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE OUR SERVICES.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Neulinc LLC ("Neulinc," "we," "us," or "our"), located in Hoboken, New Jersey. These Terms govern your access to and use of Neulinc's AI implementation, Voice AI Receptionist, workflow management, cybersecurity, and related technology services (collectively, the "Services").

By signing a Service Agreement, accessing our platform, or using any Neulinc service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

2. Services Provided

Neulinc provides the following categories of services, subject to the specific scope outlined in your executed Service Agreement:

  • Voice AI Receptionist — AI-powered call answering, lead intake, appointment scheduling, and call routing, available 24/7 (including the Never Miss A Lead (NML) System; see Schedule A)
  • Secure Workflow Replacement (SWR) — Analysis, design, and deployment of automated workflows to replace manual business processes
  • AI & Controlled Implementation — Custom AI integrations, chatbot deployments, and intelligent process automation
  • Secure Intake & Customer Systems — Digital intake forms, client portals, and customer communication systems
  • Digital Foundations — Website, hosting, DNS, and core technology infrastructure services
  • Consulting & Strategy — Technology assessment, automation roadmapping, and IT advisory services

The specific services, deliverables, timelines, and fees applicable to your engagement are governed by a separately executed Service Agreement or Statement of Work ("SOW"). In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement shall control.

3. Client Responsibilities

By engaging Neulinc, you agree to:

  • Provide accurate, complete, and current information necessary for Neulinc to perform the Services
  • Grant Neulinc timely access to systems, accounts, credentials, and personnel reasonably required to deliver the Services
  • Designate an authorized point of contact with authority to make decisions regarding the engagement
  • Comply with all applicable laws and regulations in your use of the Services, including HIPAA (if applicable), state bar regulations, and applicable telemarketing and recording consent laws
  • Obtain all necessary consents from your customers and callers before deploying AI-powered communication systems, including compliance with applicable call recording and AI disclosure laws in your jurisdiction
  • Not use the Services for any unlawful, fraudulent, harmful, or abusive purpose
  • Maintain the confidentiality of any account credentials, API keys, or access tokens provided by Neulinc

Important NoticeClients deploying Voice AI Receptionist services are solely responsible for compliance with applicable state laws governing AI disclosure, call recording consent (one-party vs. two-party consent states), and industry-specific regulations (e.g., HIPAA for medical offices, bar ethics rules for law firms).

4. Fees, Payment & Billing

4.1 Fees

All fees are as specified in your executed Service Agreement. Neulinc offers subscription-based monthly services and one-time project fees. Fees are subject to change upon thirty (30) days written notice, except that fees under an NML Order are fixed for the minimum term described in Schedule A.

4.2 Payment Terms

Monthly subscription fees are billed in advance on the first day of each billing cycle. One-time setup fees are due prior to commencement of setup work unless otherwise agreed in writing. All invoices are payable within fifteen (15) days of the invoice date.

4.3 Late Payments

Invoices not paid within fifteen (15) days of the due date may accrue interest at 1.5% per month (or the maximum rate permitted by law, whichever is lower). Neulinc reserves the right to suspend Services for accounts more than thirty (30) days past due, without liability to Client.

4.4 Taxes

Fees do not include applicable taxes. Client is responsible for all sales, use, excise, or similar taxes imposed by any governmental authority on the Services, excluding taxes based on Neulinc's net income.

4.5 Refunds

Except for the Guarantee in Schedule A, setup fees are non-refundable once work has commenced. Monthly subscription fees are non-refundable for the current billing period. If Neulinc terminates a Service Agreement without cause, Neulinc will refund any prepaid fees for unused future service periods.

5. Term & Termination

5.1 Term

These Terms remain in effect for the duration of your Service Agreement with Neulinc and for any period during which you continue to use or access the Services.

5.2 Termination by Client

Unless otherwise specified in your Service Agreement or, for NML Orders, in Schedule A, either party may terminate the Services with thirty (30) days written notice. Termination does not relieve Client of any payment obligations accrued prior to the termination date.

5.3 Termination for Cause

Neulinc may terminate your access to Services immediately, without notice, if you: (a) materially breach these Terms and fail to cure such breach within ten (10) days of written notice; (b) become insolvent or file for bankruptcy; (c) use the Services in a manner that violates applicable law or exposes Neulinc to legal liability; or (d) fail to pay undisputed invoices within thirty (30) days of the due date.

5.4 Effect of Termination

Upon termination, your right to access and use the Services ceases immediately. Neulinc will provide a reasonable transition period (up to thirty days) during which Client may export data. Neulinc will retain Client data for sixty (60) days post-termination before secure deletion, unless otherwise required by law.

6. Intellectual Property

6.1 Neulinc IP

Neulinc retains all right, title, and interest in and to the Services, including all software, methodologies, frameworks, AI models, automation templates, and proprietary systems developed by Neulinc ("Neulinc IP"). These Terms do not grant Client any ownership interest in Neulinc IP.

6.2 Client IP & Data

Client retains all ownership rights to Client-provided data, content, branding, and materials ("Client IP"). Client grants Neulinc a limited, non-exclusive, royalty-free license to use Client IP solely to the extent necessary to perform the Services.

6.3 Work Product

Custom deliverables specifically created for Client under a signed SOW (e.g., custom workflow designs, intake scripts, AI configurations) become the property of Client upon full payment of all applicable fees, except to the extent such deliverables incorporate Neulinc IP, which remains Neulinc's property.

6.4 Feedback

Any feedback or suggestions Client provides regarding the Services may be used by Neulinc without restriction or compensation.

7. Confidentiality

Each party agrees to maintain the confidentiality of the other party's non-public business information, technical data, and proprietary materials ("Confidential Information") disclosed in connection with the Services. Each party agrees to: (a) use Confidential Information solely for purposes of the engagement; (b) not disclose Confidential Information to third parties without prior written consent; and (c) protect Confidential Information with at least the same degree of care used for its own confidential information, but no less than reasonable care.

These obligations do not apply to information that: (i) is or becomes publicly available through no fault of the receiving party; (ii) was already known to the receiving party prior to disclosure; (iii) is independently developed without reference to Confidential Information; or (iv) is required to be disclosed by law or court order, provided the disclosing party receives prompt written notice.

8. AI Services — Specific Terms

The following additional terms apply to all AI-powered services, including the Voice AI Receptionist and website chat agents:

  • AI Performance: AI systems are probabilistic and may not perform with 100% accuracy. Neulinc does not warrant that AI responses will be error-free, complete, or appropriate for every situation.
  • No Professional Advice: AI-powered systems do not constitute legal, medical, financial, or other professional advice.
  • Human Oversight: Client is responsible for establishing appropriate human review of AI-generated outputs, particularly in regulated industries.
  • Recording & Disclosure: Voice AI calls may be recorded. Client is solely responsible for required disclosures to callers and obtaining required consents under applicable law.
  • Third-Party AI Providers: Neulinc's AI services may incorporate third-party AI platforms. Client acknowledges that third-party terms and data handling practices may apply.
  • Uptime: Neulinc will use commercially reasonable efforts to maintain availability but does not guarantee uninterrupted access. Planned maintenance will be communicated where practicable.
  • Chat Agents: Website chat agents are automated. Client is responsible for displaying required disclosures to website visitors and for making sure visitors can reach a human. Chat transcripts and visitor contact details are Client IP under Section 6.2, and we and our service providers process them only to deliver the Services.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEULINC EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NOTHING IN THIS SECTION LIMITS THE REFUND REMEDY EXPRESSLY STATED IN THE GUARANTEE IN SCHEDULE A.

NEULINC DOES NOT WARRANT THAT: (A) THE SERVICES WILL MEET YOUR REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; OR (C) ANY RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEULINC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL NEULINC'S TOTAL CUMULATIVE LIABILITY EXCEED THE TOTAL FEES PAID BY CLIENT TO NEULINC IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages; some of the above limitations may not apply to you.

11. Indemnification

Client agrees to indemnify, defend, and hold harmless Neulinc and its officers, directors, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Client's use of the Services; (b) Client's breach of these Terms; (c) Client's violation of any applicable law; (d) Client's failure to obtain required consents from callers or users; or (e) any claim that Client-provided content infringes the rights of a third party.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal legal proceeding, the parties agree to attempt good-faith negotiation for thirty (30) days following written notice of the dispute.

12.2 Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles.

12.3 Jurisdiction

Any legal action arising out of these Terms shall be brought exclusively in the state or federal courts located in Essex County, New Jersey. Each party irrevocably consents to personal jurisdiction and venue in such courts.

12.4 Waiver of Jury Trial

TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY ACTION ARISING OUT OF OR RELATED TO THESE TERMS.

13. General Provisions

  • Entire Agreement: These Terms, together with any executed Service Agreement and our Privacy Policy, constitute the entire agreement between the parties and supersede all prior agreements and understandings.
  • Amendments: Neulinc may update these Terms at any time with thirty (30) days notice via email or website. Continued use of the Services after the effective date constitutes acceptance.
  • Severability: If any provision is found unenforceable, it will be modified to the minimum extent necessary, and remaining provisions will remain in full effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it in the future.
  • Assignment: Client may not assign these Terms without Neulinc's prior written consent. Neulinc may assign in connection with a merger, acquisition, or asset sale.
  • Force Majeure: Neither party is liable for delays or failures resulting from causes beyond reasonable control, including acts of God, pandemic, or telecommunications failures.
  • Notices: All legal notices to Neulinc should be sent to: legal@neulinc.com.

Schedule A: Never Miss A Lead (NML) System

A1. Scope

This Schedule forms part of the Terms and applies to NML System orders placed on or after October 24, 2026 ("NML Orders"). It does not change the terms of existing customers. For NML Orders, if this Schedule conflicts with Section 4, 5 or 9, this Schedule controls. If a signed order form conflicts with this Schedule, the order form controls.

A2. What is included

The NML System consists of the Intake Build (your intake script, call forwarding setup, integration, and testing) and the monthly service described at neulinc.com when you order. The Lead-Capture Landing Page is an optional add-on, priced separately.

A3. Fees and billing

The Intake Build and the first Monthly Platform Fee are due at signing. After that, the Monthly Platform Fee is billed monthly in advance on the same day each month. Fees are fixed for the minimum term.

A4. Go-live

"Go-live" means the date your call forwarding is active and you have approved your intake script. We will use commercially reasonable efforts to launch within 72 hours after both conditions are met. This is a target, not a warranty, and it extends for delays caused by your carrier, your approval, information you have not provided, or third-party platforms.

A5. Minimum term and cancellation

The minimum term is three monthly billing periods from signing. If you cancel during the minimum term (other than under A7, or because of our uncured material breach), the Monthly Platform Fees for the rest of the minimum term remain due. After the minimum term, service continues month to month. You may cancel by written notice (email is fine) received before your next billing date, and cancellation takes effect at the end of the paid month. We do not refund partial months.

A6. Prepay option

If you prepay the first three Monthly Platform Fees, the Intake Build is waived. The prepaid amount covers the minimum term. Afterward, service continues month to month at the regular Monthly Platform Fee unless you cancel before the prepaid period ends.

A7. 30-day guarantee

If the NML System does not capture a qualified lead during the 30 days after go-live, you may cancel and receive a refund of the Intake Build. Prepay clients receive a refund of everything paid except the first month's Monthly Platform Fee. A qualified lead is a caller who meets the criteria in the intake script you approved, as shown in your call summaries. The guarantee applies only if: (a) call forwarding stays active for the full 30 days; (b) you approved your script and responded to our reasonable setup requests; (c) you send your refund request in writing within 7 days after the 30-day period ends; and (d) you have not previously received a refund under this guarantee. We issue refunds within 7 business days. If you cancel under this guarantee, no further Monthly Platform Fees are due and the rest of the minimum term is not owed. This refund is your sole remedy if the system does not capture a qualified lead. It is a fixed contractual remedy, separate from the limit in Section 10, and deliverables for which you receive a refund do not transfer to you under Section 6.3.

A8. Law firm use

In addition to Section 8: Neulinc is not a law firm and does not give legal advice. The NML System is an automated assistant, and a conversation with it does not create an attorney-client relationship. You are responsible for approving your script, supervising how the system is used, deciding which callers to accept, running conflict checks, and complying with the professional-conduct, advertising, and solicitation rules that apply to you. We configure the assistant to identify itself as automated and, where you enable recording, to announce that the call is recorded.

A9. Call data and health information

Call recordings, transcripts, summaries, and contact details generated for you are Client IP under Section 6.2. We and our service providers, including our voice AI platform, process them only to deliver the service. Retention and deletion are governed by Section 5.4 and our Privacy Policy. The NML System is not designed to receive protected health information on behalf of a HIPAA covered entity or business associate, and Neulinc does not enter into business associate agreements for it.

A10. Results

We do not promise any number of leads, signed cases, or revenue, other than the express guarantee in A7. Results depend on your call volume, your call forwarding, and caller behavior.
